These Terms of Service ("Terms") govern your access to and use of the websites, applications, and services (collectively, the "Service") provided by CH Tech Ventures LLC ("we," "us," or "our"), operating under the brand name OpsVoice. The Service includes the OpsVoice platform and its verticals: MentorMind, OpsIQ, and HVAC.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and capable of forming a binding legal agreement to use the Service. By using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Account Registration

To access certain features, you must create an account. You agree to:

Provide accurate and complete registration information
Keep your login credentials confidential
Notify us immediately of any unauthorized use of your account
Accept responsibility for all activity that occurs under your account

We reserve the right to suspend or terminate accounts that violate these Terms or that remain inactive for an extended period.

3. Description of Service

OpsVoice is a software-as-a-service (SaaS) platform that allows businesses to upload documents, standard operating procedures, spreadsheets, and other knowledge resources, and then query that knowledge through AI-powered voice and text interfaces. The platform serves multiple industry verticals, each with tailored features.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice.

4. Free Trials

We may offer free trial periods for the Service. During the trial:

Access may be limited in features, usage, or duration (typically 7 days)
No payment information is required to start a trial
We reserve the right to modify or cancel trial offerings at any time

At the end of a trial, your access to paid features will be suspended unless you subscribe to a paid plan.

5. Subscription and Payment

5.1 Billing

Paid plans are billed on a recurring basis (monthly or annually) through our payment processor, Stripe. By subscribing, you authorize us to charge your payment method on each billing cycle.

5.2 Price Changes

We may change our pricing at any time. Price changes for existing subscribers will take effect at the start of the next billing cycle, and we will provide at least 30 days' advance notice.

5.3 Refunds

Payments are generally non-refundable. If you believe you are entitled to a refund due to a billing error or service issue, contact us at info@opsvoice.ai within 14 days of the charge.

5.4 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. You will retain access to the Service until the end of that period.

6. Your Content

6.1 Ownership

You retain all ownership rights to the documents, data, and content you upload to the Service ("Your Content"). We do not claim ownership of Your Content.

6.2 License to Us

By uploading content, you grant us a limited, non-exclusive license to process, store, and transmit Your Content solely for the purpose of providing and improving the Service. This includes processing Your Content through AI models to generate responses to your queries.

6.3 Your Responsibility

You are solely responsible for Your Content. You represent that you have the right to upload and use all content you submit, and that Your Content does not violate any third-party rights or applicable laws.

7. Acceptable Use

You agree not to use the Service to:

Violate any applicable law, regulation, or third-party rights
Upload or transmit malware, viruses, or harmful code
Attempt to gain unauthorized access to the Service, other accounts, or related systems
Interfere with or disrupt the integrity or performance of the Service
Use the Service to generate content that is illegal, defamatory, obscene, or harmful
Reverse engineer, decompile, or disassemble any part of the Service
Resell, sublicense, or redistribute the Service without our written consent
Use automated tools (bots, scrapers) to access the Service beyond normal usage

We reserve the right to suspend or terminate your access if we determine, in our sole discretion, that you have violated these terms.

8. Intellectual Property

The Service, including its design, software, text, graphics, logos, and all other content created by us, is owned by CH Tech Ventures LLC and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works of the Service without our express written permission.

The names "OpsVoice," "MentorMind," "OpsIQ," and associated logos are trademarks of CH Tech Ventures LLC.

9. AI-Generated Responses

The Service uses artificial intelligence to generate responses based on your uploaded content and queries. You acknowledge that:

AI-generated responses may not always be accurate, complete, or up to date
Responses are provided for informational purposes and should not be treated as professional, legal, medical, or financial advice
You are responsible for independently verifying any information obtained through the Service before relying on it
We are not liable for any decisions or actions taken based on AI-generated content

10. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and share your information. By using the Service, you consent to our data practices as described in the Privacy Policy.

11. Third-Party Services

The Service integrates with third-party providers (including Stripe, OpenAI, VAPI, and Supabase). Your use of those services is subject to their respective terms and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CH TECH VENTURES LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

14. Indemnification

You agree to indemnify and hold harmless CH Tech Ventures LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.

15. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination:

Your right to use the Service ceases immediately
We may delete Your Content within 30 days, unless retention is required by law
Sections of these Terms that by their nature should survive termination will remain in effect (including Limitation of Liability, Indemnification, and Governing Law)

16. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Louisiana, without regard to its conflict of law provisions. Any disputes arising from or related to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Louisiana. You consent to the personal jurisdiction of those courts.

17. Changes to These Terms

We may update these Terms from time to time. When we make changes, we will update the "Effective Date" at the top of this page. We will make reasonable efforts to notify you of material changes (such as by email or a prominent notice on the Service). Your continued use of the Service after changes are posted constitutes your acceptance of the updated Terms.

18. Miscellaneous

Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and CH Tech Ventures LLC regarding the Service.
Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
Assignment: You may not assign or transfer your rights under these Terms without our written consent. We may assign our rights without restriction.
